3. Marketplace Overview

Toro operates as a two-sided marketplace connecting:

• Buyers: Individuals purchasing physical products, digital products, and services
• Vendors: Verified sellers offering products and services through our platform

Toro maintains quality control through vendor vetting, product approval, and ongoing compliance monitoring.

4. Buyer Responsibilities

• Provide accurate shipping and payment information
• Pay for all purchases made through your account
• Comply with all applicable laws
• Communicate respectfully with vendors
• Review products/services within reasonable timeframes
• Not purchase prohibited items or attempt to circumvent platform rules

5. Vendor Responsibilities

• Complete identity verification and provide all required documentation
• Provide accurate product/service descriptions and pricing
• Fulfill orders promptly and professionally
• Maintain adequate inventory for listed items
• Respond to customer inquiries within 24 hours
• Comply with all applicable laws, including tax obligations
• Honor the return policy stated in these terms
• Submit products for approval before listing
• Maintain all required business licenses and permits
• Carry appropriate liability insurance for certain product categories
• Immediately report any security breaches or suspicious activity

6. Prohibited Activities

You may not:

• Violate any laws or regulations
• Infringe on intellectual property rights
• List prohibited, illegal, or counterfeit items (see Section 7)
• Engage in fraudulent activities or money laundering
• Manipulate reviews or ratings
• Harass, abuse, or threaten other users
• Use automated systems to access the platform without permission
• Circumvent platform fees by conducting transactions outside Toro
• Create multiple accounts to evade restrictions or bans
• Misrepresent product origin, authenticity, or condition
• Engage in price gouging or deceptive pricing practices

7. Strictly Prohibited Products and Services

The following items are absolutely prohibited on Toro:

Health and Controlled Substances:

• Prescription medications and controlled substances
• Medical devices requiring regulatory approval
• Pharmaceutical products and prescription drugs
• Supplements making unverified health claims
• CBD, THC, cannabis, and marijuana products
• Tobacco, cigarettes, cigars, vaping products, and e-cigarettes

Weapons and Dangerous Items:

• Firearms, ammunition, and gun parts
• Explosives, fireworks, and incendiary devices
• Knives marketed as weapons
• Tasers, stun guns, and pepper spray
• Body armor and tactical gear

Illegal and Harmful Items:

• Stolen goods, replicas of stolen goods
• Counterfeit or fake products
• Items encouraging illegal activity
• Hacking tools or services
• Fake documents or identification
• Hazardous materials and chemicals
• Pesticides and toxic substances

Adult and Restricted Content:

• Adult content, pornography, or sexual services
• Escort services or companionship
• Items with graphic violence or hate symbols

Financial and Investment:

• Get-rich-quick schemes or pyramid schemes
• Multi-level marketing recruitment
• Cryptocurrency mining equipment (without approval)
• Unlicensed financial advice or investment services
• Currency, coins, or cash equivalents

Animals and Wildlife:

• Live animals or pets
• Endangered species products
• Animal parts or products from protected species

Other Prohibited Items:

• Human remains or body parts
• Items promoting discrimination or hate
• Recalled products
• Items violating intellectual property rights
• Event tickets above face value (scalping)
• Lottery tickets or gambling services

Toro reserves the right to remove any listing that violates these prohibitions or poses risk to users, and may terminate accounts that repeatedly list prohibited items.

8. Intellectual Property

All content on Toro, including logos, designs, text, and software, is owned by Toro or its licensors. You may not use our intellectual property without written permission.

Copyright Compliance: We respond to valid DMCA takedown notices and may terminate accounts of repeat infringers.

9. Fees and Payments

• Buyer Payments: All payments are processed securely through 2checkout. Prices are listed in the applicable currency and include applicable taxes unless otherwise stated.
• Payment Holding Period: Payments are held in escrow until delivery confirmation plus the 24-hour return window to protect both buyers and sellers.
• Vendor Fees: Vendors pay commission fees on completed sales as outlined in the Vendor Agreement. Fees are automatically deducted from vendor payouts.
• Payment Processing: 2checkout handles all payment processing. By using Toro, you agree to 2checkout's terms and conditions.
• Chargeback Protection: Toro maintains verification and tracking systems to protect against fraudulent chargebacks.

10. Delivery and Logistics

Physical products are delivered through our third-party logistics provider. Delivery times vary based on location and vendor processing time. Digital products are delivered electronically upon payment confirmation.

Tracking Required: All physical shipments must include valid tracking numbers for buyer and platform verification.

11. Platform Oversight and Compliance

• Product Approval: All new product listings must be approved by Toro before going live on the platform.
• Ongoing Monitoring: We use automated systems and manual reviews to monitor compliance with our policies.
• Right to Remove: Toro reserves the right to remove any listing, suspend transactions, or terminate accounts at any time for policy violations or suspicious activity.
• Audits: We conduct regular audits of vendor accounts and product listings to ensure compliance.
• Cooperation with Authorities: We cooperate fully with law enforcement and regulatory agencies when required.

12. Dispute Resolution

• Internal Resolution: We encourage users to resolve disputes directly. Our support team is available to mediate.
• Escrow Protection: Funds are held until disputes are resolved to protect both parties.
• Arbitration: Any disputes that cannot be resolved internally will be settled through binding arbitration in accordance with applicable arbitration rules.
• Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions.

13. Limitation of Liability

Toro serves as a platform connecting buyers and vendors. While we implement verification and monitoring systems:

We are not liable for:

• Quality, safety, or legality of items listed by vendors
• Accuracy of vendor listings
• Ability of vendors to complete transactions
• Actions or inactions of platform users
• Indirect, incidental, or consequential damages

Our total liability shall not exceed the amount you paid to Toro in the 12 months preceding the claim.

Platform Responsibility: However, Toro takes responsibility for enforcing our policies, maintaining security systems, and investigating violations.

14. Indemnification

You agree to indemnify and hold Toro harmless from claims arising from your use of the platform, violation of these terms, or infringement of third-party rights.

15. Termination

We reserve the right to suspend or terminate accounts that violate these terms, list prohibited items, engage in fraudulent activity, fail verification requirements, or for any reason at our discretion.

16. Changes to Terms

We may modify these terms at any time. Continued use after changes constitutes acceptance of modified terms.

17. Governing Law
